Terms and Conditions

1. Scope

These Terms and Conditions apply to all contracts between DynaForms GmbH, Bokel 3, 49626 Bippen, Germany, represented by Jens Boschulte – herein after referred to as the Supplier – and business customers as defined in Section 14 of the German Civil Code (BGB), who purchase software libraries or related services via the website [Domain name]. Conflicting terms of the customer shall not apply unless expressly agreed in writing.

2. Subject Matter

The Supplier provides the Customer with software libraries intended for integration into their own systems or products. The exact scope of services is specified in the respective product description on the website.

3. Conclusion of Contract

The presentation of products on the website does not constitute a legally binding offer. By submitting an order, the Customer makes a binding offer. The contract is concluded once the Supplier confirms the order or provides access to the software.

4. Prices and Payment Terms

All prices are net and subject to applicable VAT. Payment is due in advance (prepayment only). Delivery or activation will take place after full payment has been received.

5. License Rights

The Supplier grants the Customer a simple, non-exclusive, non-transferable right to use the software. The source code may not be modified or distributed unless expressly permitted.

6. Right of Withdrawal

Since contracts are concluded exclusively with business customers, there is no right of withdrawal under Sections 312g, 355 BGB.

7. Warranty and Liability

No warranty is provided. Liability is excluded except in cases of intent or gross negligence. Liability under the German Product Liability Act remains unaffected.

8. Data Protection

9. Final Provisions

German law applies. The place of jurisdiction is the Supplier’s registered office. Should any provision be or become invalid, the validity of the remaining provisions shall remain unaffected.
